Agreement to Terms

Welcome to Neera. These Terms and Conditions ("Terms") govern your access to and use of the Neera water billing management application ("App", "Service", "Platform"), developed and operated by Alornix Technologies ("Company", "we", "us", "our").

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Definitions

For the purposes of these Terms:

  • "App" refers to the Neera mobile application and web-based admin panel
  • "Company Administrator" or "Admin" refers to the authorized representative of a water supply authority or organization using the Service
  • "Agent" refers to field personnel authorized by a Company Administrator to use the mobile application for bill collection
  • "Customer" refers to end consumers whose water consumption and billing is managed through the Service
  • "Account" refers to the unique login credentials assigned to use the Service
  • "Personal Data" means data that can directly or indirectly identify an individual
  • "Billing Data" refers to meter readings, consumption data, payment records, and related financial information

2. Eligibility and Account Registration

2.1 Eligibility

The Service is intended for use by water supply authorities, panchayats, housing societies, and similar organizations operating in India. You must be at least 18 years of age and have the legal authority to enter into agreements on behalf of your organization.

2.2 Account Creation

  • Company accounts are created by Alornix Technologies upon agreement of service terms
  • Company Administrators are responsible for creating and managing Agent accounts
  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of all login credentials

2.3 Account Responsibility

  • You are solely responsible for all activities that occur under your account
  • You must immediately notify us of any unauthorized access or security breach
  • We reserve the right to suspend or terminate accounts that violate these Terms

3. Description of Service

3.1 What Neera Provides

Neera is a comprehensive water billing management solution that enables:

  • Customer registration and management
  • Meter reading recording
  • Automated bill calculation based on configurable billing rules
  • Payment collection and tracking
  • Receipt generation and printing via Bluetooth thermal printers
  • Billing history and reports
  • Multi-agent support with role-based access

3.2 Service Delivery

  • The Service is provided on a Software-as-a-Service (SaaS) basis
  • Access is provided through mobile applications (Android/iOS) and web portal
  • Service availability is subject to internet connectivity and server uptime

4. Acceptable Use Policy

4.1 You Agree To:

  • Use the Service only for lawful purposes related to water billing management
  • Ensure accuracy of all data entered including customer information and meter readings
  • Maintain proper authorization for all agents using the system
  • Comply with all applicable local, state, and national laws and regulations
  • Protect the privacy and rights of your customers whose data you manage

4.2 You Agree NOT To:

  • Share login credentials with unauthorized persons
  • Access or attempt to access data belonging to other organizations
  • Use the Service to store or transmit any unlawful, defamatory, or fraudulent content
  • Introduce viruses, malware, or any harmful code into the system
  • Attempt to reverse engineer, decompile, or disassemble the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Collect or harvest any information from the Service without authorization
  • Resell, sublicense, or redistribute the Service without written permission
  • Use automated scripts, bots, or scrapers to access the Service

5. Billing and Payment

5.1 Service Fees

  • Service fees are determined based on the agreed service plan (one-time license, annual maintenance, or subscription)
  • All fees are exclusive of applicable taxes unless stated otherwise
  • Payment terms and methods will be agreed upon at the time of service activation

5.2 Payment Processing

  • The Service facilitates recording of water bill payments between you and your customers
  • We are not a payment processor and do not handle actual money transfers
  • All financial transactions recorded through the App are your responsibility
  • You are responsible for reconciling payment records with actual collections

5.3 Disputes

  • We are not liable for any billing disputes between you and your customers
  • You are solely responsible for resolving customer complaints regarding bills generated through the Service

6. Data Accuracy and Responsibility

6.1 Your Responsibility

You are solely responsible for:

  • Accuracy of customer registration information
  • Correctness of meter readings entered into the system
  • Proper configuration of billing rules and rates
  • Accuracy of payment records
  • Maintaining backup of critical business data

6.2 Our Limitation

  • We provide tools for data management but do not verify the accuracy of entered data
  • We are not responsible for incorrect bills generated due to wrong data entry
  • System calculations are based entirely on the data and rules you configure

7. Intellectual Property Rights

7.1 Ownership

  • The Service, including all software, designs, logos, documentation, and related materials, is owned by Alornix Technologies
  • These materials are protected by copyright, trademark, and other intellectual property laws of India

7.2 License Grant

  • We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes
  • This license does not include the right to modify, copy, distribute, or create derivative works

7.3 Your Content

  • You retain ownership of all data you enter into the Service
  • You grant us a limited license to process your data solely for providing the Service
  • We will not use your data for any purpose other than delivering the Service

8. Privacy and Data Protection

8.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. The Privacy Policy is incorporated into these Terms by reference.

8.2 Data Processing

  • We process data on your behalf as a data processor
  • You remain the data controller for all customer information you manage through the Service
  • You are responsible for obtaining necessary consents from your customers for data processing

9. Service Availability and Support

9.1 Availability

  • We strive to maintain high availability but do not guarantee uninterrupted access
  • The Service may be temporarily unavailable due to maintenance, updates, or technical issues
  • Scheduled maintenance will be communicated in advance when possible

9.2 Support

  • Technical support is provided as per your service agreement
  • Support is available via email at [email protected]
  • Response times may vary based on issue severity and support plan

9.3 Updates

  • We may update the Service from time to time to add features or fix issues
  • Major updates affecting functionality will be communicated to users
  • Continued use after updates constitutes acceptance of changes

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALORNIX TECHNOLOGIES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from unauthorized access to or alteration of your data
  • Any damages exceeding the fees paid by you in the twelve (12) months preceding the claim

10.3 Essential Purpose

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Alornix Technologies and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Any claims by your customers related to billing or data handling

12. Term and Termination

12.1 Term

These Terms are effective from your first use of the Service and continue until terminated.

12.2 Termination by You

You may stop using the Service at any time. Contact us at [email protected] to formally terminate your account and request data export.

12.3 Termination by Us

We may suspend or terminate your access if:

  • You violate these Terms
  • You fail to pay applicable service fees
  • Your use poses a security risk to the Service or other users
  • Required by law or legal process

12.4 Effect of Termination

Upon termination:

  • Your right to access the Service immediately ceases
  • We will retain your data for the period specified in our Privacy Policy
  • You may request export of your data within 30 days of termination
  • Provisions that by nature should survive termination will remain in effect

13. Changes to Terms

13.1 Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Service or notification to users.

13.2 Acceptance

Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. If you disagree with changes, you must stop using the Service.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes arising from these Terms or use of the Service shall be subject to the exclusive jurisdiction of courts in Edapally, Ernakulam, Kerala, India.

14.3 Dispute Resolution

Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiation. Either party may propose mediation as an alternative to litigation.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Alornix Technologies regarding the Service.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

15.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights to any successor or affiliate.

15.5 Language

These Terms are provided in English. In case of translation, the English version shall prevail.
